Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Flow mobile application and related services (“Service”, “Application”, “Flow”), operated by {LEGAL_ENTITY_NAME} (“Service Provider”, “we”, “us”, “our”). By downloading, installing, or using Flow, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Flow is a wellness and productivity application. It helps you plan focused work sessions, log reflections, and surface patterns in your sleep, heart-rate variability (HRV), and focus over time.

Flow is not a medical device. It is not designed, intended, or licensed to diagnose, treat, cure, mitigate, or prevent any disease or condition. The HRV, sleep, and focus metrics displayed in Flow are for self-reflection only. Nothing in the Service constitutes medical advice. If you are experiencing burnout, distress, or any health concern, please consult a qualified healthcare professional. In an emergency, contact your local emergency services.

2. Eligibility and accounts

You must be at least 13 years old to use Flow (or 16 where local law sets that as the minimum age for digital-service consent without parental authorisation). You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us at security@flowdeep.app if you suspect unauthorised use.

3. Subscription terms

Flow is offered on a freemium basis. Core functionality is free; certain features are unlocked by an active subscription.

3.1 Pricing

Local currency, taxes, and final price are determined by Apple App Store or Google Play at the moment of purchase and may differ from the USD figures above. The price shown in the store at checkout is the price you pay.

3.2 Founding-tier (founding-member) lock, Apple product ID flow_annual_2999_founding_2y

The founding-member annual subscription locks your renewal price at USD 29.99 per year for the first two (2) subscription years. After year two, you will be offered the then-current regular price. Auto-renewal is automatically disabled at the end of year two unless you explicitly accept the new offer; this means the founding-tier subscription will not silently roll over onto a higher price without your active acceptance.

This founding-member behaviour is implemented as documented in our internal architecture decision record ADR-006 and is binding on us for every founding-member subscription created during the Founding Window.

3.3 Auto-renewal

The Weekly and (non-founding) Annual plans renew automatically at the end of each billing cycle unless you cancel at least 24 hours before the renewal date, in accordance with Apple App Store and Google Play subscription rules.

3.4 Free trial

The 7-day free trial is available once per Apple ID / Google account on the Annual and Founding-member Annual plans. If you do not cancel before the trial ends, the subscription will convert to a paid subscription at the price shown at signup.

3.5 Cancellation and refunds

You can cancel at any time through:

• iOS: Settings → [your name] → Subscriptions → Flow → Cancel.
• Android: Play Store → Profile → Payments & subscriptions → Subscriptions → Flow → Cancel.

Cancellation takes effect at the end of the current billing period; you retain access to paid features until then. Refunds are handled by Apple or Google under their respective policies and are not issued directly by us. If you believe you are entitled to a refund, please request it through the App Store / Play Store first; you may also contact support@flowdeep.app and we will assist where we can.

3.6 Price changes

We may change subscription prices for new subscribers at any time. Existing subscribers will be notified at least 30 days in advance of any price change to their plan and may cancel before the change takes effect. Founding-member subscribers benefit from the 2-year price lock described in §3.2 regardless of any general price changes during that window.

4. Acceptable use

You agree not to:

• Reverse-engineer, decompile, disassemble, or otherwise attempt to extract the source code of the Application, except to the extent that such restriction is prohibited by applicable law.
• Resell, sublicense, lease, or otherwise commercially exploit the Service or any part of it without our prior written consent.
• Use the Service to send automated traffic, scraping bots, credential stuffing, or any form of abusive automation.
• Interfere with or disrupt the Service, its servers, or networks; probe, scan, or test the vulnerability of any system without our prior written consent (see security@flowdeep.app for our responsible-disclosure programme).
• Use the Service in violation of any applicable law, including export-control, sanctions, and intellectual-property laws.
• Circumvent any technical measure that enforces subscription entitlements.

5. Intellectual property

The Application, including its source code, branding, copy, design system, sound assets, and trademarks, is owned by the Service Provider and is protected by copyright, trademark, and other intellectual-property laws. We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the Application on devices you own or control, solely for your personal, non-commercial use, subject to these Terms.

5a. EU / UK consumer right of withdrawal

If you are a consumer resident in the European Economic Area, the United Kingdom, or Switzerland, you have a statutory 14-day right of withdrawal from a subscription contract concluded at distance (Art 9 Directive 2011/83/EU and equivalent UK / Swiss law). By starting to use paid features during this period you expressly consent to immediate performance of the digital service and acknowledge that, once performance has begun, the right of withdrawal is lost in accordance with Art 16(m) of that Directive. This does not affect any other mandatory consumer rights that apply under the law of your country of residence.

5b. Data processing (controller / processor)

In our relationship with consumer users we act as the data controller. The categories of data we process, the lawful basis for processing, retention, sub-processors, and your rights as a data subject are set out in the Privacy Policy, which forms part of these Terms.

For business customers wishing to process the personal data of their own users or employees through Flow, a Data Processing Agreement (DPA) including the European Commission’s Standard Contractual Clauses 2021/914 is available on request from privacy@flowdeep.app.

6. Third-party services and AI

The Service relies on third-party providers (notably Apple, Google / Firebase, Anthropic, RevenueCat, Cloudflare, Beehiiv) as described in our Privacy Policy. Their terms apply to your use of their services, and we are not responsible for their availability, behaviour, or actions.

Flow uses Artificial Intelligence (Anthropic Claude) to generate focus plans and “Now Reset” coaching. AI output is suggestion, not advice. You acknowledge that AI may occasionally produce inaccurate, incomplete, or unexpected output, and you remain solely responsible for any decision you take based on it.

7. Wellness disclaimer (not medical advice)

To repeat what §1 says, because it matters: Flow is a wellness and productivity tool, not a medical device. The information presented in Flow, including HRV, sleep, focus, and AI-generated coaching, is for informational and self-reflection purposes only and is not medical advice. Flow does not replace consultation with a qualified healthcare professional. If you are in distress or experiencing a medical or mental- health emergency, contact a qualified professional or your local emergency services immediately.

8. Disclaimers and warranties

The Service is provided “AS IS” and “AS AVAILABLE”, without warranties of any kind, whether express or implied, including (without limitation) implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation. We do not warrant that the Service will be error-free, that defects will be corrected, or that the Service or the servers that make it available are free of viruses or other harmful components.

9. Limitation of liability

To the maximum extent permitted by applicable law, the Service Provider will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to, use of, or inability to access or use the Service; (b) any conduct or content of any third party on the Service; or (c) unauthorised access, use, or alteration of your transmissions or content.

In jurisdictions that do not allow the exclusion of certain warranties or the limitation of liability, our liability is limited to the greater of (i) the total amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim, or (ii) USD 50.

Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law.

10. Termination

You may stop using the Service at any time and delete your account from Settings → Delete account. Account deletion triggers the data-erasure process described in our Privacy Policy and is completed within 30 days.

We may suspend or terminate your access to the Service, with or without notice, if (a) you materially breach these Terms; (b) we are required to do so by law; (c) continued provision of the Service to you is no longer commercially or technically viable; or (d) we cease to operate the Service.

Upon termination, the rights and licences granted to you under these Terms cease immediately. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, governing law, dispute resolution) will survive.

11. Governing law and dispute resolution

These Terms are governed by and construed in accordance with the laws of {GOVERNING_LAW_JURISDICTION}, without regard to its conflict-of-laws provisions. The courts of {GOVERNING_LAW_JURISDICTION} will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to any mandatory consumer-protection rights you may have under the laws of your country of residence.

12. Changes to these Terms

We may update these Terms from time to time. When we do, we update the “Last updated” and “Effective” dates above. Material changes will be announced in-app at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
